ANDRE MARTINS PEREIRA, UNIPESSOAL LDA., headquartered at Rua José Luís Monteiro, n.º 245, 9º C, 1950-162 Lisbon, corporate entity n.º 517082748, owner of the registered trademark Wine Tour Cruises, registered at the Lisbon Commercial Registry Office, with a share capital of €5,000, hereby presents the following Terms and Conditions for the commercial partnership between its brand Wine Tour Cruises and the Partner.
1. Partnership Scope
1.1. Wine Tour Cruises provides a platform for promoting and booking partner cruises in domestic and international destinations.
1.2. The Partner commits to providing its cruise offers, updated information, prices, and general sales conditions.
2. Commission Fee
2.1. The Partner agrees to pay a commission fee negotiated at the start of the partnership, corresponding to ___% of the total value of each booking completed through Wine Tour Cruises. (Observation: The commission value is defined by mutual agreement, by email.)
2.2. This commission will be automatically deducted at the time of the customer’s booking payment.
2.3. Any changes to the commission fee must be agreed upon by both parties and documented in writing.
3. Partner’s Obligations
3.1. Ensure that all information provided to Wine Tour Cruises is accurate, complete, and up-to-date.
3.2. Fulfill the advertised services, guaranteeing the highest quality and safety for customers.
3.3. Immediately inform Wine Tour Cruises of any changes or unavailability of services to prevent negative impacts on the customer experience.
4. Wine Tour Cruises’ Obligations
4.1. Promote the Partner’s cruise offers on the Wine Tour Cruises platform.
4.2. Manage the booking and payment processes, ensuring the transfer of amounts to the Partner, minus the commission fee.
4.3. Provide periodic reports on sales performance.
5. Payments and Financial Conditions
5.1. Payments to the Partner will preferably be made up to 24 hours before the service is carried out, unless otherwise agreed and documented via email between the parties. Payments will be made via bank transfer to the IBAN provided by the Partner.
5.2. All values displayed on the platform include VAT, unless otherwise stated.
5.3. In case of cancellations or refunds, the commission fee will be adjusted accordingly.
6. Termination of Partnership
6.1. Either party may terminate this partnership by providing 30 days’ written notice.
6.2. In the case of a serious breach of these terms, Wine Tour Cruises reserves the right to suspend or terminate the partnership with immediate effect.
7. Final Provisions
7.1. This agreement is governed by Portuguese law.
7.2. Any disputes will be resolved in the competent courts of Lisbon, Portugal.
7.3. By accepting these terms, the Partner agrees to comply with Wine Tour Cruises’ privacy policies and terms of use.
Confirmation and Acceptance of Terms
Online Agreement Statement:
“I, [Legal Representative’s Name of the Partner], confirm that I have read and understood the Wine Tour Cruises Partnership Terms and Conditions. I accept all the points described in this document, committing my company to abide by these conditions. I also declare that the information provided is true and that I represent the entity mentioned above.”
